Please read these Terms of Service (the “Terms”) carefully. These Terms constitute a binding legal agreement between No Agent List, Inc. (“No Agent List,” “we,” “us,” or “our”) and the individual or legal entity accessing or using the Services (“you” or “your”).
These Terms govern your access to and use of the No Agent List website located at www.noagentlist.com, including all related subdomains, mobile applications, and other websites or platforms operated by No Agent List (collectively, the “Website”), and all products, features, data, tools, listings, analytics, lead classifications, and services made available through the Website (together with the Website, the “Services”).
Platform Overview
No Agent List provides a real estate data and discovery platform that aggregates, analyzes, and categorizes residential real estate properties and market information using proprietary algorithms, public records, third-party data sources, and user-submitted information.
The Services may include, without limitation:
- Property listings and lead types (including auction, off-market, pre-foreclosure, deal, ARV, and other categorized opportunities)
- Market insights, pricing indicators, and analytics
- Tools enabling buyers, sellers, investors, and vendors to identify, evaluate, and connect regarding properties or services
- Vendor directories, advertising opportunities, and related monetization features
Supplemental Services
We may offer additional features, tools, or services (“Supplemental Services”) that are subject to additional terms, conditions, or policies (“Supplemental Terms”). Any applicable Supplemental Terms will be disclosed to you at the time you access or use the relevant Supplemental Service.
If there is a conflict between these Terms and any Supplemental Terms, the Supplemental Terms will control solely with respect to the applicable Supplemental Service.
Together, these Terms and any applicable Supplemental Terms are referred to as the “Agreement.”
Acceptance of the Agreement
By accessing or using the Services in any manner — including visiting the Website, creating an account, browsing or saving listings, viewing or exporting data, purchasing subscriptions, contacting other users, vendors, or property owners, clicking “I Accept,” or otherwise interacting with the Services — you represent and agree that:
Platform Overview
No Agent List provides a real estate data and discovery platform that aggregates, analyzes, and categorizes residential real estate properties and market information using proprietary algorithms, public records, third-party data sources, and user-submitted information.
The Services may include, without limitation:
- You have read, understood, and agree to be bound by this Agreement;
- You are at least 18 years old and have the legal capacity to enter into a binding contract; and
- If you are using the Services on behalf of a company, organization, or other legal entity, you have the authority to bind that entity to this Agreement.
If you do not agree to these Terms, you may not access or use the Services.
1. Account Registration & Eligibility
Account Registration
To access certain features of the Services, you may be required to create an account ("Account"). When registering for an Account, you agree to provide accurate, current, and complete information and to keep such information updated at all times.
You are responsible for:
- Maintaining the confidentiality of your Account login credentials
- All activity that occurs under your Account, whether authorized or unauthorized
You agree to notify No Agent List immediately of any unauthorized access to or use of your Account.
Eligibility
You must be at least 18 years old to create an Account or use the Services. By using the Services, you represent and warrant that you meet this eligibility requirement.
No Agent List reserves the right to:
- Refuse registration
- Suspend or terminate Accounts
- Limit access to certain features
at any time and for any reason, including suspected misuse, violation of these Terms, or risk to the platform or its users.
Account Types
No Agent List may offer different Account types, including but not limited to:
- Buyer or investor accounts
- Seller or property owner accounts
- Vendor or service provider accounts
- Paid subscription tiers or enterprise access
Access to certain features, data, or tools may vary by Account type and subscription level.
2. Permitted & Prohibited Uses
Permitted Use
You may use the Services solely for lawful purposes and in accordance with this Agreement. Subject to your compliance with these Terms, No Agent List grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.
Prohibited Uses
You agree not to, directly or indirectly:
- Access, harvest, crawl, download, or scrape data from the Services using automated means without prior written consent
- Copy, reproduce, resell, sublicense, distribute, or commercially exploit any listings, data, lead classifications, algorithms, or content available through the Services
- Use the Services to provide competing products or services
- Misrepresent your identity, intent, or affiliation when contacting other users or property owners
- Circumvent access controls, subscription limits, or feature restrictions
- Upload false, misleading, or deceptive information
- Engage in harassment, spam, or abusive conduct toward other users
- Use the Services in violation of applicable laws, regulations, or third-party rights
No Agent List reserves the right to investigate and take appropriate action against violations, including suspension or termination of Accounts and legal action where appropriate.
3. Data Use, Skip Tracing & Restrictions
Data Access & Use
The Services may include note-owner data, contact information, skip tracing results, property insights, lead classifications, and other data ("Platform Data").
You are granted a limited right to access and use Platform Data solely for your internal evaluation and transaction-related purposes in connection with real estate opportunities identified through the Services.
Skip Tracing
Certain Services may provide skip tracing or owner contact data derived from third-party sources and public records.
By using skip tracing features, you acknowledge and agree that:
- Skip trace data is provided as-is and may be inaccurate or incomplete
- You are solely responsible for complying with all applicable laws, including but not limited to TCPA, CAN-SPAM, state privacy laws, and local regulations
- No Agent List does not guarantee the accuracy, completeness, or legality of any contact data
Prohibited Data Use
You expressly agree not to:
- Resell, license, distribute, sublicense, publish, or otherwise commercially exploit Platform Data or skip trace results
- Export Platform Data in bulk or systematic form
- Share Platform Data with third parties, databases, vendors, or service partners unless authorized
- Share skip data with third parties outside of your organization
Any unauthorized use of Platform Data constitutes a material breach of this Agreement.
4. Vendor Communications & Off-Platform Contact
On-Platform Messaging
No Agent List may provide tools enabling vendors, buyers, sellers, and users to communicate directly through the platform.
You agree to use such messaging tools professionally, lawfully, and in good faith.
Off-Platform Communications
Users may choose to communicate or transact outside of the platform only after a mutual agreement or connection has been established through No Agent List.
No Agent List:
- Is not a party to off-platform communications or transactions
- Is not a party to any off-platform agreements
- Is not responsible for disputes, representations, payments, or outcomes arising from off-platform interactions
You assume all risk associated with off-platform communications and transactions.
5. Automated Access, API Use & Data Extraction
No Automated Access
Except as expressly authorized in writing by No Agent List, you may not access or interact with the Services through any automated means, including but not limited to:
- Bots, crawlers, scrapers, or spiders
- Scripts, browser extensions, or automation tools
- Data mining, harvesting, or extraction software
- Systematic downloads or bulk exports
Unauthorized access to the Services through automated means without prior written authorization is strictly prohibited.
API Access
No Agent List does not provide public or implied API access to the Services.
API access, data feeds, integrations, or programmatic access to Platform Data are prohibited by default and may only be permitted pursuant to a separate written agreement executed by No Agent List.
Any such agreement may include additional terms governing:
- Scope of access
- Usage limits
- Security requirements
- Fees
- Data ownership and restrictions
Absent a separate written agreement, no API rights are granted under this Agreement.
Circumvention Prohibited
You agree not to:
- Bypass or attempt to bypass access controls, usage limits, or technical safeguards
- Reverse engineer, decompile, or analyze platform behavior to recreate data outputs
- Employ other unauthorized methods to extract, access, or replicate Service data or functionality
Unauthorized automated access constitutes a material breach of this Agreement and may result in immediate suspension or termination of your Account, in addition to legal remedies.
6. Data Accuracy, Estimates & No Guarantees
Informational Use Only
All property data, lead classifications, analytics, pricing indicators, estimates, market insights, and related information made available through the Services are provided for informational and educational purposes only.
The Services are intended to assist users in identifying and evaluating potential real estate opportunities, but do not replace independent due diligence, professional advice, or verification.
No Guarantees
You acknowledge and agree that:
- Property values, pricing estimates, ARV calculations, equity estimates, and lead classifications are estimates only, not guarantees
- Market conditions, property conditions, legal status, and seller intent may change at any time
Data may be incomplete, outdated, inaccurate, or derived from third-party or public sources beyond No Agent List's control
No Agent List makes no representations or warranties regarding:
- Accuracy
- Completeness
- Timeliness
- Reliability
- Profitability
- Investment outcomes
of any data or content provided through the Services.
No Investment, Legal, or Financial Advice
Nothing on the Services constitutes or should be construed as:
- Real estate brokerage advice
- Investment advice
- Legal advice
- Tax advice
- Financial or lending advice
You are solely responsible for evaluating any property, lead, or opportunity and for consulting with licensed professionals as appropriate.
Lead Classifications
Lead types (including but not limited to Auction, Deal, Off-Market, Pre-Foreclosure, ARV Flip, Must-Sell, and related classifications) are generated using automated processes, algorithms, and data signals.
Lead classifications:
- Reflect probabilistic indicators, not certainties
- Do not guarantee seller motivation, availability, pricing, or transaction success
- May change as new data becomes available
No Agent List does not guarantee that any property will be available, negotiable, profitable, or suitable for your intended use.
Assumption of Risk
You acknowledge that real estate transactions involve inherent risks, including financial loss. Your use of the Services and reliance on any information provided is entirely at your own risk.
7. No Agency, No Brokerage, No Fiduciary Relationship
No Agent List is not a licensed real estate broker, agent, salesperson, lender, attorney, escrow company, title company, or financial advisor.
No Agent List:
- Does not represent buyers or sellers
- Does not act as an intermediary, agent, or fiduciary
- Does not negotiate, structure, draft, or execute contracts
- Does not participate in escrow, title, or closing services
All transactions are conducted directly between users at their own discretion.
No Fiduciary Relationship
Your use of the Services does not create any fiduciary, agency, partnership, joint venture, or employment relationship between you and No Agent List.
No Agent List owes no duties of loyalty, disclosure, care, or advice to any user.
No Endorsements or Recommendations
Any property, listing, vendor, service provider, or opportunity displayed on the platform is not an endorsement, recommendation, or verification by No Agent List.
Users are solely responsible for:
- Verifying property details
- Conducting inspections and due diligence
- Evaluating vendors, service providers, and counterparties
- Negotiating terms and executing agreements
No Control Over Transactions
No Agent List does not:
- Control user communications
- Control pricing or negotiations
- Control transaction terms or outcomes
- Guarantee transaction completion or success
No Agent List is not responsible for disputes, misrepresentations, failures to perform, or damages arising from interactions or transactions between users
Independent Decision-Making
You acknowledge that all decisions to pursue, negotiate, or transact regarding any property or service are made independently and without reliance on No Agent List.
8. Payments, Subscriptions & Billing
Paid Services
Certain features of the Services may require payment of fees, including but not limited to subscription plans, premium data access, skip tracing credits, vendor listings, advertising placements, or other paid tools (collectively, "Paid Services").
You agree to pay all applicable fees associated with your selected Paid Services in accordance with the pricing and payment terms presented at the time of purchase.
Subscriptions
Paid Services may be offered on a recurring subscription basis (monthly, annual, or otherwise). Unless otherwise stated at the time of purchase:
- Subscriptions automatically renew at the end of each billing period
- You authorize No Agent List to charge your designated payment method for recurring fees
- Subscription fees are charged in advance of the applicable billing period
You may manage or cancel your subscription through your Account settings. Cancellation will take effect at the end of the then-current billing cycle unless otherwise specified
No Refunds
Except as expressly stated in writing by No Agent List or required by applicable law, all fees are non-refundable, including but not limited to:
- Unused subscription time
- Unused skip tracing credits
- Partial billing periods
- Failure to achieve expected results or outcomes
No Agent List does not guarantee any minimum level of usage, leads, performance, or transaction success.
Pricing Changes
No Agent List reserves the right to modify pricing, subscription plans, features, or availability at any time. Any pricing changes will take effect at the start of the next billing cycle unless otherwise stated.
Continued use of the Paid Services after a pricing change constitutes your acceptance of the updated pricing.
Payment Processing
Payments are processed through third-party payment processors. No Agent List does not store full payment card details and is not responsible for errors, breaches, or interruptions caused by third-party payment providers.
You agree to provide accurate and current payment information and authorize No Agent List to charge your payment method for all applicable fees.
Failure to Pay
If payment cannot be successfully processed or your account becomes delinquent, No Agent List may, without notice:
- Suspend or restrict access to Paid Services
- Downgrade or terminate your Account
- Recover unpaid amounts through lawful means
You remain responsible for all outstanding charges incurred prior to suspension or termination.
9. Intellectual Property & Data Ownership
Platform Ownership
The Services, including but not limited to the Website, software, databases, algorithms, lead classifications, scoring models, analytics, property categorizations, pricing logic, text, graphics, logos, trademarks, and all related content and functionality (collectively, the "Platform Content"), are owned by or licensed to No Agent List and are protected by intellectual property laws.
Nothing in this Agreement grants you any ownership rights in the Platform Content.
Limited License
Subject to your compliance with this Agreement, No Agent List grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform Content solely for your internal evaluation and real estate opportunity identification in connection with the Services.
This license does not permit you to:
- Copy, reproduce, modify, or create derivative works of the Platform Content
- Reverse engineer or attempt to derive the underlying algorithms, logic, or models
- Redistribute, resell, sublicense, or commercially exploit the Platform Content
- Use Platform Content to build or enhance competing products or services
Lead Types, Classifications & Algorithms
All lead types, classifications, sorting systems, rankings, labels, and related methodologies displayed on the platform are proprietary to No Agent List.
You acknowledge that:
- These classifications are the result of proprietary analysis and processing
- The structure, presentation, and categorization of data constitute protectable intellectual property
- You acquire only the right to view or replicate these algorithms within the Services
User-Submitted Content
You may submit certain information through the Services, including inquiries, messages, property information, or other content ("User Content").
By submitting User Content, you grant No Agent List a worldwide, non-exclusive, royalty-free license to use, store, reproduce, display, and process such content solely for the purpose of operating, improving, and providing the Services.
You represent that you have all necessary rights to submit User Content and that it does not infringe upon any third-party rights.
Feedback
If you provide feedback, suggestions, or ideas regarding the Services ("Feedback"), you agree that No Agent List may use such Feedback without restriction, obligation, or compensation to you.
10. Limitation of Liability
Disclaimer of Damages
To the maximum extent permitted by applicable law, No Agent List shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Lost profits or revenues
- Lost business opportunities
- Reputational harm
- Loss of data
- Property valuation errors
- Deal outcomes or failed transactions
arising out of or related to your access to or use of the Services, even if No Agent List has been advised of the possibility of such damages.
Liability Cap
To the extent permitted by law, the total cumulative liability of No Agent List for any claims arising out of or relating to this Agreement or the Services shall not exceed the total amount of fees paid by you to No Agent List in the twelve (12) months preceding the event giving rise to the claim.
If you have not paid any fees to No Agent List, No Agent List's total liability shall not exceed $100.
Basis of the Bargain
You acknowledge that the limitations of liability set forth in this section reflect a reasonable allocation of risk and form an essential basis of the agreement between you and No Agent List.
Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, No Agent List's liability shall be limited to the maximum extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless No Agent List, its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to:
Your access to or use of the Services
- Any communications, negotiations, or transactions you conduct with other users, vendors, property owners, or third parties
- Any alleged violation of TCPA, CAN-SPAM, privacy or any regulations
- Your material infringement or violation of this Agreement or applicable law
- Any dispute between you and another user, vendor, buyer, seller, or third party
No Agent List shall be required to assist in your defense and you agree to cooperate fully with No Agent List in asserting any available defense.
12. Termination & Suspension
Termination by You
You may terminate your Account at any time by canceling your subscription (if applicable) and discontinuing use of the Services. Termination will take effect in accordance with your billing cycle as described in the Payments & Subscriptions section.
Termination or Suspension by No Agent List
No Agent List may, in its sole discretion and with or without prior notice, suspend or terminate your Account or access to the Services if we reasonably believe you:
- Misuse Platform Data, skip tracing, or messaging tools
- Attempt unauthorized data extraction, resale, or automation
- Will not pay fees unless a bona fide dispute relates to No Agents List
- Your conduct poses a risk to No Agent List, its users, or third parties
No Agent List may also suspend or terminate Accounts for operational, security, or business reasons.
Effect of Termination
Upon termination or suspension, your right to access and use the Services immediately ceases. Any incomplete transactions, limitations of liability, indemnification, or survival of this Agreement shall survive termination.
13. Dispute Resolution & Arbitration
Informal Resolution
Before initiating any legal or formal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or related to the Services ("Dispute") by contacting No Agent List in writing with a detailed description of the issue and the relief sought.
Both parties agree to negotiate in good faith to attempt resolution.
Binding Arbitration
If a Dispute cannot be resolved through informal resolution, you agree that any Dispute shall be resolved exclusively through final and binding arbitration, rather than in court, except as expressly provided below.
The arbitration shall be conducted:
- By a single arbitrator
- In accordance with the rules of the American Arbitration Association (AAA)
The arbitrator shall have exclusive authority to resolve any Dispute, including the interpretation, applicability, enforceability, or formation of this Agreement.
No Class Claims
You agree that:
- Disputes must be brought on an individual basis only
- No class-wide or representative proceeding is permitted
- The arbitrator may not consider claims or award relief on a class-wide basis
Exceptions
Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, or prevent unauthorized use of the Services.
Arbitration Costs
Each party shall bear its own arbitration fees and costs, except as otherwise required by applicable law or awarded by the arbitrator.
Governing Rules & Enforcement
The arbitration shall be governed by and enforced in any court of competent jurisdiction.
14. Governing Law & Miscellaneous
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
Venue
To the extent any Dispute is permitted to be brought in court rather than arbitration, such action shall be brought exclusively in the state or federal courts located within California, and you consent to the personal jurisdiction of such courts.
Assignment
You may not assign or transfer this Agreement, by operation of law or otherwise, without the prior written consent of No Agent List.
No Agent List may freely assign or transfer this Agreement, in whole or in part, without restriction.
Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
Waiver
The failure of No Agent List to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
Entire Agreement
This Agreement constitutes the entire agreement between you and No Agent List regarding the Services and supersedes all prior or contemporaneous agreements, communications, or understandings, whether written or oral.
Modifications
No Agent List reserves the right to modify or update this Agreement at any time. Updated versions will be posted on the Website with a revised "Effective Date."
Your continued use of the Services after any such modification constitutes your acceptance of the revised Agreement.
Force Majeure
No Agent List shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or service provider failures, or power outages.
